General Terms and Conditions for SalesBridges General Trading LLC

Article 1 - Definitions

1. Additional Agreement: An agreement for products, digital content, and/or services related to a distance contract provided by the entrepreneur or a third party.
2. Reflection Period: The time frame during which the consumer can exercise the right of withdrawal.
3. Consumer/Client: A natural person acting for purposes unrelated to trade, business, craft, or profession.
4. Day: A calendar day.
5. Digital Content: Data produced and delivered in digital form.
6. Duration Agreement: An agreement for the regular delivery of goods, services, and/or digital content over a specified period.
7. Durable Data Carrier: Any tool, including email, that allows the storage of information for future consultation.
8. Right of Withdrawal: The consumer's option to cancel the distance contract within the cooling-off period.
9. Entrepreneur: A natural or legal person, a member of Stichting Webshop Keurmerk, offering products, digital content, and/or services at a distance.
10. Distance Contract: An agreement concluded between the entrepreneur and the consumer within an organized system for distance selling using remote communication techniques.
11. Technique for Distance Communication: Means used to conclude an agreement without in-person interaction.
12. Customization and Projects: Products made based on client specifications.

Article 3 - Applicability

These terms apply to every offer and distance contract between the entrepreneur and the consumer. The terms will be provided prior to contract conclusion. If not possible, the entrepreneur will inform the consumer how to access the terms and send them free of charge upon request.

Article 4 - The Offer

Offers with a limited validity period or conditions will be clearly stated. Each offer will include a detailed description of the products and services to enable informed decision-making by the consumer.

Article 5 - The Agreement

The agreement is concluded upon acceptance by the consumer. If accepted electronically, the entrepreneur will confirm receipt. The consumer may dissolve the agreement until this confirmation is received.

Article 6 - Pricing

Quoted prices are based on the total volume of the original request and are exclusive of VAT unless stated otherwise. Prices will not increase during the validity period, except for VAT changes. Price increases within three months after the agreement are allowed under specific conditions.

Article 7 - Compliance and Guarantees

The entrepreneur guarantees that products/services comply with the agreement. Customized items do not follow standard warranty procedures and are non-returnable.

Article 8 - Delivery and Inspection

Orders will be executed promptly, typically within 30 days unless otherwise agreed. Consumers should inspect goods in the presence of the delivery driver before signing the delivery note. Claims for damages must be reported within 24 hours, supported by documentation.

Article 9 - Duration Transactions

Consumers may cancel indefinite agreements with a one-month notice. Fixed-term agreements can be canceled at the end of the term with similar notice.

Article 10 - Changes to Assignment

Changes can occur with mutual consent, which may affect price and delivery time.

Article 11 - Suspension and Dissolution

The entrepreneur may suspend or dissolve the agreement if the client fails to meet obligations or in cases of force majeure.

Article 12 - Early Termination

The entrepreneur may terminate the assignment prematurely under specific conditions without compensation.

Article 13 - Payment

Orders must be fully paid before delivery. Accepted payment methods include bank transfer and online payment via secure link. Cash or check payments are not accepted upon delivery.

Article 14 - Complaints Procedure

Complaints must be reported in writing within one month. Late complaints may result in loss of repair or replacement rights.

Article 15 - Liability

Liability is limited to direct damages caused by the entrepreneur’s failure, capped at the invoice value or insured amount.

Article 16 - Limitation Period

Claims against the entrepreneur must be made within one year.

Article 17 - Indemnification

Clients indemnify the entrepreneur against claims from third parties arising from assignment execution not attributable to the entrepreneur.

Article 18 - Force Majeure

The entrepreneur is not liable for obligations during events of force majeure.

Article 19 - Retention of Title

All goods supplied remain the property of the entrepreneur until full payment is received.

Article 20 - Intellectual Property

All rights to plans, documents, and creations made by the entrepreneur remain with them.

Article 21 - Confidentiality

All client information will be kept confidential unless disclosure is legally required.

Article 22 - Nullity

If any part of these terms is void, the validity of the remainder is not affected.

Article 23 - Additional Provisions

Any additional provisions must not be detrimental to the consumer and should be documented in writing.

Article 24 - Shipments Outside UAE

Shipments outside the UAE are subject to local import duties and release agent fees.
