 General Terms and Conditions for SalesBridges General Trading LLC

# Article 1 - Definitions

1. Additional Agreement : An agreement where the consumer acquires products, digital content, and/or services related to a distance contract, supplied by the entrepreneur or a third party.
2. Reflection Period : The period during which the consumer can exercise the right of withdrawal.
3. Consumer/Client : A natural person acting not for purposes related to trade, business, craft, or profession.
4. Day : A calendar day.
5. Digital Content : Data produced and delivered in digital form.
6. Duration Agreement : An agreement for the regular delivery of goods, services, and/or digital content over a specified period.
7. Durable Data Carrier : Any tool, including email, that allows the consumer or entrepreneur to store information for future consultation.
8. Right of Withdrawal : The consumer's option to cancel the distance contract within the cooling-off period.
9. Entrepreneur : A natural or legal person, a member of Stichting Webshop Keurmerk, offering products, digital content, and/or services at a distance.
10. Distance Contract : An agreement concluded between the entrepreneur and the consumer within an organized system for distance selling, utilizing one or more techniques for remote communication.
11. Technique for Distance Communication : Means used to conclude an agreement without the consumer and entrepreneur meeting in person.
12. Customization and Projects : Products made based on client specifications.

# Article 2 – Identity of the Entrepreneur

# Article 3 – Applicability

These terms apply to every offer and distance contract between the entrepreneur and the consumer. The text of these terms will be provided before the contract is concluded. If not possible, the entrepreneur will inform the consumer where the terms can be viewed and will send them free of charge upon request.

# Article 4 – The Offer

Offers with a limited validity period or conditions will be clearly stated. The offer will contain a detailed description of the products and services, ensuring the consumer can make an informed decision.

# Article 5 – The Agreement

The agreement is concluded upon acceptance by the consumer. If the offer is accepted electronically, the entrepreneur will confirm receipt. The consumer can dissolve the agreement until receipt confirmation.

# Article 6 – The Price

Prices will not increase during the stated validity period, except for VAT changes. Price increases within three months after the agreement is only allowed under specific conditions. All prices are exclusive of VAT unless stated otherwise.

# Article 7 – Compliance and Extra Guarantee

The entrepreneur guarantees that products/services comply with the agreement. Customized items do not follow standard warranty procedures and cannot be returned.

# Article 8 – Delivery and Execution

Orders will be executed promptly, typically within 30 days unless otherwise agreed. The risk of damage/loss rests with the entrepreneur until delivery.

# Article 9 – Duration Transactions

Consumers can cancel indefinite agreements with a notice period of one month. Fixed-term agreements can be canceled at the end of the term with a similar notice period.

# Article 10 - Change of Assignment

Changes to the assignment can occur with mutual consent, which may affect price and delivery time.

# Article 11 - Suspension, Dissolution

The entrepreneur may suspend or dissolve the agreement if the client fails to meet obligations or in cases of force majeure.

# Article 12 - Early Termination

The entrepreneur can terminate the assignment prematurely under certain conditions, without compensation.

# Article 13 – Payment

Payments must be made in advance or within specified periods. Advance payment is required for customized projects.

# Article 14 – Complaints Procedure

Complaints must be reported in writing within one month. Late complaints may result in loss of repair or replacement rights.

# Article 15 - Liability

Liability is limited to direct damages caused by the entrepreneur’s failure, capped at the invoice value or the amount insured.

# Article 16 - Limitation Period

Claims against the entrepreneur must be made within one year.

# Article 17 - Indemnification

Clients indemnify the entrepreneur against claims from third parties resulting from assignment execution not attributable to the entrepreneur.

# Article 18 - Force Majeure

The entrepreneur is not liable for obligations during force majeure events.

# Article 19 - Retention of Title

All goods supplied remain the property of the entrepreneur until full payment is received.

# Article 20 - Intellectual Property

All rights to plans, documents, and creations made by the entrepreneur remain with them.

# Article 21 - Confidentiality

All client information will be kept confidential unless disclosure is legally required.

# Article 22 - Nullity

If any part of these terms is void, it will not affect the validity of the remainder.

# Article 23 - Additional Provisions

Any additional provisions must not be detrimental to the consumer and should be recorded in writing.

# Article 24 - Shipments Outside UAE

Shipments outside the UAE are subject to local import duties and release agent fees.
